These Terms and Conditions of Use (“Terms”) govern your access to and use of Hivelink Ltd’s online booking and payment platform (“Service”) as well as our marketing website located at www.hivelink.co.uk (“Website”). By using our Service, you agree to comply with and be bound by these Terms. If you do not agree, you must not use the Service.

2. Description of Services and Website
Hivelink provides a platform for organisations to take online bookings and payments for activities, which may or may not be attended by the person making the booking. Additionally, our Website provides general information about our services, features, pricing, and company updates. The Service collects participant data required by activity providers, generates registers, and offers customer communication tools. It is intended for businesses, organisations, and individuals offering services that require booking and prepayment.
3. Website and User Accounts Responsibilities
- Users must provide a valid name, email address, and billing details to register for our Service.
- Visitors to our Website do not need to register but must comply with these Terms when using any publicly available features.
- Users are responsible for the content they create, including activity listings and managing team members.
- Hivelink must not be used for any unlawful activity.
- Users are responsible for ensuring compliance with local laws. Users must maintain the confidentiality of their login credentials.
4. Subscription & Payment Terms
- Pricing: £19.99 per month plus a 1.5% usage fee (minimum charge per booking: £0.15).
- Billing Cycle: Payments are made via credit or debit card and are billed monthly in arrears.
- Invoice Billing: Available upon request with strict 14-day payment terms.
- Renewals & Cancellations: Subscriptions renew automatically each month. Users may cancel at any time; access remains until the end of the billing cycle. Once cancelled, data is not accessible or recoverable.
- Late Payments: Failure to make payments results in account cancellation.
- Refunds: No refunds are issued upon termination.
5. Licensing & Intellectual Property
- Users receive a non-exclusive, non-transferable, subscription-based licence per organisation with no user limits.
- Users must not copy, modify, distribute, or resell the software.
- Hivelink owns all intellectual property, including design, layout, and functionality.
- Users are responsible for ensuring they have the rights to any content uploaded to Hivelink.
6. Data Privacy & Security
- We collect minimal personal data necessary for account creation and billing (name, email, billing details, address). Other data is provided voluntarily by users.
- Hivelink complies with GDPR and provides tools for users to manage compliance.
- We do not accept liability for user misuse of data.
- In case of a data breach due to our software, we will act in line with UK Information Commissioner’s Office (ICO) guidelines.
7. Service and Website Availability & Warranties
- Hivelink aims for continuous uptime with a target availability of 99.5% for our Service, except in cases of force majeure or events beyond our control.
- Our Website is also maintained for availability, but we do not guarantee uninterrupted access to it. Scheduled maintenance will be communicated in advance, and we strive to minimise downtime.
- The Service is continuously maintained and updated.
- Disclaimer: Hivelink provides the Service “as is” without any warranties of error-free operation.
8. Liability & Indemnification
- Hivelink accepts no liability for any direct, indirect, incidental, or consequential damages arising from the use of the Service, except in cases of gross negligence or wilful misconduct.
- Users agree to indemnify and hold Hivelink harmless from any claims, damages, or losses arising from their use of the Service, including but not limited to third-party claims related to content uploaded by users, unauthorised use of data, or violations of applicable laws and regulations.
9. Termination & Suspension
- We reserve the right to suspend or terminate accounts due to non-payment, violation of these Terms, or use of the platform for illegal or unauthorised purposes.
- Data retention follows the minimum legal period required.
- No refunds are provided upon termination; access continues until the end of the billing cycle.
10. Dispute Resolution & Governing Law
- These Terms are governed by UK and EU law.
- Any disputes will first be attempted to be resolved through negotiation, mediation, or arbitration before litigation. Arbitration, if required, will be conducted under the rules of the London Court of International Arbitration (LCIA), and the decision shall be binding on both parties.
- Hivelink reserves the right to amend these Terms. Users will be notified of updates via email at least 14 days prior to the changes taking effect.
